Terms & Conditions of the Membership Agreement between YOU and The Millionaires Club Business LTD

1. Introduction

   1.1 The Millionaires Business Club Membership Agreement (the "Membership Agreement") is a legal agreement and governs your use of any of The Millionaires Business Club networking Membership Services (“the Membership Services”) including our Internet Software and any updates and upgrades. Subscription to The Millionaires Business Club Membership Services is offered to you conditional upon your acceptance without modification of the terms, conditions, and notices contained in this Membership Agreement. If you do not agree to this Membership Agreement do not subscribe to or use The Millionaires Club networking Membership Services.

   1.2 The Millionaires Business Club networking includes various Web pages, software and services operated by The Millionaires Business Club networking, Highfield House, 25 Highfield Road Bushey Hertfordshire WD23 2HD. As used in this Membership Agreement, "you" or "your" means you or anyone who has access to use your The Millionaires Club networking account. You must be at least eighteen (18) years of age to subscribe to The Millionaires Business Club networking Membership Services.

   1.3 The Millionaires Business Club networking has an initial joining fee and an annual Subscription Fee. The annual subscription will be invoiced and collected at each anniversary of joining, at this rate, The Millionaires Club networking having first given 30 days notice in writing, by email, of the renewal. The annual subscription fee may be paid by standing order, on a monthly or annual basis.

2. Membership Services

   2.1 Membership Services include opportunities to:

   • Attend any networking event, regardless of geography, venue, similar attendance by members/guests from your business sector, but subject to the availability of places and prior payment of event charges, which are discounted for members
   • Invite guests to attend networking events under the same conditions, including prior payment of event charges, which are at full price
   • Have your own home page on The Millionaires Business Club networking Website, including your personal/business‘ photo, and profile, so members and guests can find out about you and your products and services

   2.2 Enjoyment of Membership Services includes the responsibility to:

   • Act in a proper, courteous and business-like way at events and in all direct dealings with fellow members, guests, The Millionaires Business Club networking staff and associates and the management and staff of third parties who provide event services and venue facilities
   • To maintain the creditability of your own business, to act in a way which does not discredit The Millionaires Business Club networking and to promote membership in a positive manner
   • Avoid all acts or omissions which might be or become unlawful activities or to collude with others for unlawful purposes (both civil and criminal)
   • Understand that The Millionaires Business Club networking is not a network marketing or MLM company and that such activity if unacceptable, either at events or through the Website

   2.3 Misuse of opportunities and failure to act in a responsible manner will result in immediate termination of Membership Services, at the sole discretion of The Millionaires Business Club networking.

3. Modification of This Membership Agreement

   In the event that The Millionaires Business Club networking desires to make any changes or additions to the terms, conditions, and notices involving The Millionaires Club networking, including any terms related to pricing, discontinuation of plans and billing, then The Millionaires Business Club networking will notify you of such changes or additions at least 30 days in advance of the effective date of any such changes or additions. The form of such notification will be by e-mail and online via the Website. In the event you do not agree to such changes or additions, then you must cancel your Membership and stop using Membership Services prior to the effective date of such changes or additions. Your continued use of Membership Services after the effective date of such changes or additions constitutes your acceptance of and agreement to such changes or additions.

4. Privacy and Protection of Personal Information

   The Millionaires Business Club networking adheres to Statement of Privacy for the collection and use of your personal information. The Statement of Privacy is Appendix 1 to the Terms and Conditions. You should periodically review the Statement of Privacy as it is updated on a regular basis.

5. Member Account, Password, and Security

   Your subscription to Membership Services requires you provide us with current, complete and accurate sign up information, and choose a user code and password. You are entirely responsible for maintaining the confidentiality of your user code and password. Furthermore, you are entirely responsible for any and all activities that occur under your account. The Millionaires Business Club networking is not responsible for any loss that you may incur as a result of someone else using your usercode and password, either with or without your knowledge. However, you could be responsible for losses incurred by The Millionaires Business Club or another party due to someone else using your usercode and password.

6. Personal and Non-Commercial Use Limitation

   Unless otherwise specified Membership Services are for your personal use. Any unauthorized commercial use of Membership Services, or the resale of any Membership Services, is expressly prohibited. You may not modify copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from Membership Services.

7. Links to Third-Party Sites

   The links included within Membership Services may The Millionaires Business Club direct you to third-party Websites ("Linked Sites"). The Linked Sites are not under the control of networking and The Millionaires Business Club networking is not responsible for the contents of any Linked Site. The Millionaires Business Club networking is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by The Millionaires Business Club networking of the site or any association with its operators. Any dealings with third parties (including advertisers) included within Membership Services or participation in promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and the advertiser or other third party The Millionaires Business Club networking shall not be responsible or liable for any part of any such dealings or promotions.

8. No Unlawful or Prohibited Use

   You shall not use Membership Services for any purpose that is unlawful or prohibited by this Membership Agreement. You may not use Membership Services in any manner that could damage, disable, overburden, or impair any Website or service within Membership Services (or the networks connected to any Website or service within Membership Services) or interfere with any other party's use and enjoyment of Membership services. You may not attempt to gain unauthorized access to Membership Services, other accounts, computer systems or networks connected to any Website or service within The Millionaires Business Club networking Membership Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through Membership Services. You agree to abide by all applicable local, national and international laws and regulations.

9. Use of Internet Services; Operation of Services

   9.1 You shall only use Membership Services to post, send, and receive messages and material that are proper and relate to your business and its use of Membership Services. By way of example, and not as a limitation, you agree that when using Membership services you will not:

   • Use The Millionaires Business Club networking Membership services in connection with surveys, contests, pyramid schemes, chain letters, junk e-mail, spamming or any duplicative or unsolicited messages (commercial or otherwise).
   • Defame abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
   • Publish post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information.
   • Publish, post, upload, distribute or disseminate any topic, name, material or information that incites discrimination, hate or violence towards one person or a group because of their belonging to a race, a religion or a nation, or that insults the victims of crimes against humanity by contesting the existence of those crimes.
   • Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consents to do the same.
   • Use any material or information, including images or a photograph, which is made available through Membership Services in any manner that infringes any copyright, trademark, patent, trade secret, privacy or publicity right, or other proprietary right of any party.
   • Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programmes that may damage the operation of another's computer or property of another.
   • Advertise or offer to sell or buy any goods or services for any business purpose, unless Membership Services specifically allow such messages.
   • Download any file posted by another user of Membership Services that you know, or reasonably should know, cannot be legally distributed in such manner.
   • Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
   • Restrict or inhibit any other user from using and enjoying Membership Services.
   • Violate any code of conduct or other guidelines that may be applicable for any particular Membership Services.
   • Harvest or otherwise collect information about others, including e-mail addresses without their permission.
   • Violate any applicable laws or regulations.
   • Create a false identity for the purpose of misleading others.
   • Use, download or otherwise copy, or provide (whether or not for a fee) to other persons or entities any directory of users of a Website or service within Membership Services
   • Send unsolicited e-mail or instant messages through third-party mail servers to relay your message or hide the origination of your message or any other message to others.

   9.2 The Millionaires Business Club networking has no obligation to monitor Membership Services. However, The Millionaires Business Club networking reserves the right to review all materials posted to any Membership Service and to remove any materials in its sole discretion. The Millionaires Business Club reserves the right to terminate your access to any or all Membership Services at any time, without notice, for any reason whatsoever. The Millionaires Business Club networking reserves the right at all times to edit refuse to post or to remove any information or materials, in whole or in part, in The Millionaires Business Club networking’s sole discretion.

   9.3 The Millionaires Business Club networking reserves complete and sole discretion with respect to the operation of Membership Services. The Millionaires Club networking may, among other things, take any action (legal and/or technical) that The Millionaires Club networking deems appropriate to prevent bulk e-mail from entering or leaving any The Millionaires Business Club networking e-mail account and the network e-mail system.

10. Charges and Billing

    10.1 The Millionaires Business Club networking invoices and collected payment from you through an online account for Membership Services, including annual membership fees and attendance charges for events. The Millionaires Business Club networking reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment. If The Millionaires Business Club networking does not receive payment from your Payment Method Provider, you agree to pay all amounts due upon demand.

    10.2The Millionaires Club networking currently has only four types of charges for Membership Services:

    • An annual Subscription Fee for members which is invoiced and collected monthly or annually through a standing order, and on each anniversary of their joining The Millionaires Business Club networking
    • A member attendance charge for events, which is always discounted and which amount will vary depending on the event to which it relates
    • A guest attendance charge for events, which is not discounted and which amount will vary depending on the event to which it relates
    10.3 Subscription Fees will be invoiced and collected as a single payment and bookings for event attendance, including where the member invite and wish to pay for guests, are also invoiced and collected as a single payment.

11. Refund Policies and Procedures

    11.1 Annual Subscription Fees. You have a right to cancel your subscription, within 7 working after the date of the contract, or any renewal subscription with 7 days of the renewal date (anniversary), and this will also be confirmed in writing to you by post in your membership letter. The procedure for cancelling your subscription is by sending a notice of cancellation, by email, to refunds@1m-bc.com, which will likewise be confirmed in your membership letter. The Millionaires Business Club networking will remit appropriate refunds within 30 days from when the notice of cancellation is given, by re-crediting your Payment Method Provider or other means of payment if this is not possible.

    11.2 Event attendance charges. You have a right to cancel a payment made to book place/places at an event up to 7 working before the event. The booking will be confirmed in writing to you by email for each event you book. The procedure for cancelling your booking is by sending a notice of cancellation, by email. However, payments made within 7 days of an event taking place will only be accepted on the understanding that they are an exception to the Consumer Protection (Distance Selling) Regulations 2000. Payment for late bookings (within 7 days) can also be in person, using traditional payment methods.

12. Software and Content Available Through The Millionaires Business Club networking

    12.1 All information, materials, graphics, software (if any), and products that are made available to view and/or download in connection with The Millionaires Business Club networking, excluding content and/or software that may be made available by end-users through The Millionaires Business Club networking ("Content"), is owned by and is the copyrighted work of The Millionaires Business Club networking and/or its suppliers and is protected by copyright laws and international treaty provisions.

    12.2 Any reproduction or redistribution of the Content and/or Software is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. Without limiting the foregoing, copying or reproduction of the content or software to any other server or location for further reproduction or redistribution is expressly prohibited.

13. Installations

    The Millionaires Business Club networking and its designated service providers shall have no liability whatsoever for any losses resulting from installation, repair or support services, including, without limitation, damage to your premises, loss of software, data or other information from your computer or for any modifications made to your computer system including modifications or deletion of files.

14. Liability/Warranty Disclaimer

    14.1 The Millionaires Business Club networking, its resellers, distributors, service providers and/or suppliers do not warrant that access to or use of Membership Services will be uninterrupted or error-free, that subscribers will be able to access Membership Services at any time or in any geographic area, or that Membership Services internet client software, or related equipment will meet any particular criteria of performance or quality.

    14.2 The Millionaires Business Club networking liability to you for breach of this Membership Agreement is limited to the amount actually paid by you to The Millionaires Business Club networking for access to and use of Membership Services. You hereby release The Millionaires Club networking from any and all obligations, liabilities, and claims in excess of this limitation. If you are dissatisfied with any portion of The Millionaires Business Club networking, or with any part of this membership agreement, your sole and exclusive remedy is to not sign up for The Millionaires Club networking, or to cancel your membership to The Millionaires Club networking.

15. Termination of Membership

    15.1 The Millionaires Business Club networking reserves the right, in its sole discretion, to terminate or suspend your Membership to The Millionaires Business Club networking and access to Membership Services at any time, with or without cause, with or without notice.

    15.2 You may terminate your The Millionaires Business Club networking Membership at any time, with or without cause, upon notice to The Millionaires Business Club networking provided that you are responsible for all charges, which have been submitted prior to your notice of termination. If you are participating in any trial period offer, you must terminate your Membership prior to the end of the applicable trial period in order to avoid incurring service or any other applicable charges, and if you fail to so terminate then you hereby authorize The Millionaires Business Club to charge your Payment Method Provider for Membership accordingly.

    15.3 Termination, cancellation or suspension of your Membership, whether by you or The Millionaires Business Club networking, will not alter your obligation to pay all charges made to your account before such termination The Millionaires Business Club, cancellation or suspension (including charges made after termination by you but before The Millionaires Business Club networking could reasonably act on your termination notice). You will not be entitled to any refunds upon termination, cancellation or suspension of your Membership.

16. General

    16.1 You represent and warrant that: (1) you are at least 18 years of age or the age required or allowed under applicable law for making a legal and binding contract; (2) all information that you submit is true and accurate (including without limitation information relating to your Payment Method, as defined in Section 10); and (3) you are an individual authorized to use the Payment Method. You agree to pay for all charges and to comply with your responsibilities and obligations as stated in this Membership Agreement. The Millionaires Business Club networking may: (1) generate printed copies of its electronic records and introduce them in evidence as original documents; and (2) prove your agreement or consent in any manner, including without limitation, by showing that a procedure existed by which you must have provided consent or engaged in conduct to obtain your Membership Services.

    16.2 Claims for enforcement, breach or violation of duties or rights under this Membership Agreement shall be adjudicated under English Laws.

    16.3 You agree that no joint venture, partnership, employment, or agency relationship exists between you and The Millionaires Business Club networking as a result of this Membership Agreement or use of Membership Services. You agree not to represent yourself to be a representative, agent, or employee of The Millionaires Business Club networking and that The Millionaires Club networking will not be liable by reason of any representation, act or omission to act by you.

    16.3 The Millionaires Business Club networking reserves the right to disclose any personal information about you or your use of Membership Services, including its contents, without your prior permission if The Millionaires Business Club networking has a good faith belief that such action is necessary to: (1) conform to legal requirements or comply with legal process or any governmental request; (2) protect and defend the rights or property of The Millionaires Business Club networking or its affiliated companies; (3) enforce this Membership Agreement; or (4) act to protect the interests of its members or others. The Millionaires Business Club networking performance of this Membership Agreement is subject to existing laws and legal process, and nothing contained in this Membership Agreement is in derogation of The Millionaires Business Club networking right to comply with governmental, court and law enforcement requests or requirements relating to your use of Membership Services or information provided to or gathered by The Millionaires Business Club networking with respect to such us

    16.4 A printed version of this Membership Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Membership Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You and The Millionaires Business Club networking agree that any cause of action arising out of or related to Membership Services must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

17. Notices, Consumer Disclosures, and Consents Regarding Electronic Information

    17.1 Notices given by you to The Millionaires Business Club networking must be given by e-mail to notices@1m-bm.com, or by postal mail. Notices by postal mail must be sent to The Millionaires Business Club, Highfield House, 25 Highfield Road Bushey Hertfordshire WD23 2HD

18. Indemnification

    You agree to indemnify and hold The Millionaires Business Club networking, its parents, subsidiaries, members, affiliates, officers and employees, harmless from any claim, demand, or damage, including costs and reasonable legal fees, asserted by any third party due to or arising out of your use of or conduct on The Millionaires Business Club networking websites. The Millionaires Business Club networking will notify you of any claim for which The Millionaires Business Club networking seeks indemnification and will afford you the opportunity to participate in the defense of such claim, provided that your participation will not be conducted in a manner prejudicial to The Millionaires Business Club networking interests, as reasonably determined by The Millionaires Business Club networking.
